Georgia applies a 15% corporate tax on distributed profit, so retained earnings are untaxed. Small-business status can reduce turnover tax to 1% for qualifying individual entrepreneurs. Virtual zone person status exempts qualifying IT services supplied abroad from profit tax, and free industrial zone companies enjoy broad exemptions for qualifying trade and manufacturing.

- No minimum share capital; one director and one shareholder suffice.
- Georgian registered address; formation possible by power of attorney.
- Tax registration, and VAT registration above the turnover threshold.

Banking and crypto activity
Georgian banks onboard non-resident-owned companies more readily than most, with multi-currency accounts and functional online banking; a director visit is usually expected. Virtual asset service providers now require registration and supervision by the National Bank of Georgia, with AML obligations aligned to international standards — so plan for a compliant filing rather than assuming an unregulated market.
