Tax: two-tier rates on a territorial basis
Profits tax is 8.25% on the first HKD 2 million of assessable profits and 16.5% above that for companies. Only profits with a Hong Kong source are taxable, and there is no VAT, no capital gains tax and no withholding tax on dividends. Offshore-source claims are available but must be documented contemporaneously — the Inland Revenue Department tests where contracts are negotiated and concluded, not where invoices are printed.
Incorporation requirements
- Private company limited by shares; at least one individual director and one shareholder.
- A company secretary resident in Hong Kong is mandatory.
- Registered office address in Hong Kong; PO boxes are not accepted.
- Significant controllers register maintained at the registered office.
- Annual audited accounts and a profits tax return, plus an annual return to the Companies Registry.
Banking and payments
Hong Kong banks onboard properly evidenced businesses well and decline vague ones quickly. Expect questions on customer geography, suppliers, expected monthly volumes and the commercial reason for a Hong Kong entity. Licensed virtual banks and regulated payment institutions have widened the options considerably for fintech flows.
