USA and Canada MSB formation: FinCEN and FINTRAC registration explained
A North American MSB registration is the fastest credible route into regulated money transmission, currency exchange and crypto dealing. It is also the registration most often obtained incorrectly. Here is what FinCEN and FINTRAC actually require.

What an MSB is — and what it is not
A money services business is a regulated category covering money transmission, currency dealing and exchange, cheque cashing, issuing or redeeming money orders and traveller's cheques, and — in both countries — dealing in virtual currency. Registration is an anti-money-laundering obligation. It is supervision, not a licence to do anything you like.
The single most important thing to understand: a US federal FinCEN registration is not a money transmitter licence. It satisfies your AML registration duty with the Treasury. Transmitting money for residents of a given state generally also requires that state's money transmitter licence. Marketing an MSB registration as a nationwide transmission licence is the mistake that gets founders into trouble with banks and regulators alike.
United States — the two layers
Layer one is federal. You incorporate (usually a Delaware, Wyoming or Florida LLC or corporation), obtain an EIN, appoint a compliance officer, write and implement a written AML programme, and file FinCEN Form 107 to register as an MSB. Registration must be renewed every two years, and reports — SARs and CTRs — begin immediately.
Layer two is state. Each state licenses money transmission separately, with its own application, surety bond, minimum net worth, background checks and examination cycle. Some crypto-only models and agent-of-payee structures fall outside transmission in certain states; that analysis is specific to your flows and should be done in writing before launch.

Canada — FINTRAC registration
In Canada, MSBs and foreign MSBs register federally with FINTRAC before offering services. There is no state layer, which is why Canadian MSBs are often the more efficient North American option, but the compliance programme requirements are substantive and FINTRAC examines against them.
Since the 2020 amendments, dealing in virtual currency is an MSB activity in its own right, and foreign entities directing services at Canadian customers must register as foreign MSBs. Provincial rules — notably Quebec — may add their own requirements.

Banking an MSB
MSB de-risking is real: many banks decline the category outright. The relationships that do accept MSBs expect to see the registration certificate, the AML programme, the compliance officer's CV, expected volumes by corridor and, for crypto models, your blockchain analytics provider. A Canadian MSB, properly documented, is typically registered within one to two months. A US federal registration can be filed quickly, but state licensing is the long pole — months per state, with bonds and capital. Cost is driven by state coverage, surety bonds, net-worth requirements and the depth of the compliance build, not by incorporation fees.

Does a FinCEN MSB registration let me transmit money in every US state?
No. FinCEN registration is a federal AML obligation. Money transmission is licensed state by state, and operating without the required state licence is a criminal exposure in many states.
Is a Canadian MSB easier than a US MSB?
Usually, because FINTRAC registration is federal with no provincial licensing layer for most models. The compliance programme obligations are still examined seriously.
Can a non-resident own a US or Canadian MSB?
Yes, with caveats. Both countries expect a genuine local nexus — directors, an address, a compliance function — and banks will ask about it closely.
Does an MSB cover crypto?
Dealing in virtual currency is an MSB activity in both jurisdictions. Custody, exchange and transfer models each need to be described accurately in the registration and the AML programme.
